1. Agreement to Terms

Welcome to TrunkMatch ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the TrunkMatch marketplace platform, including our website, mobile application, and related services (collectively, the "Service").

By accessing or using TrunkMatch, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and TrunkMatch. Please read them carefully.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old to use TrunkMatch. If you are under 18, you may only use TrunkMatch with the supervision and consent of a parent or legal guardian who agrees to these Terms on your behalf.

2.2 Account Creation

To use certain features of TrunkMatch, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

2.3 Account Responsibilities

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your password
  • Ensuring that anyone who accesses TrunkMatch through your account complies with these Terms
  • Any losses or damages resulting from unauthorized use of your account

3. Marketplace Rules and User Conduct

3.1 Permitted Use

TrunkMatch is a marketplace for buying and selling children's clothing. You may use our Service to:

  • List children's clothing items for sale
  • Browse and purchase children's clothing from other users
  • Connect with other families in your area
  • Participate in our queue system for fair access to listings
  • Use our matching features to find relevant listings

3.2 Prohibited Activities

You agree not to:

  • List items that are not children's clothing
  • List unsafe, recalled, or prohibited items
  • List counterfeit, stolen, or illegal items
  • Misrepresent items (condition, size, brand, etc.)
  • Use misleading or false information in listings
  • Circumvent our platform fees or payment system
  • Manipulate the queue system or matching algorithm
  • Harass, threaten, or abuse other users
  • Spam or send unsolicited communications
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Use automated systems to access the Service without permission
  • Interfere with or disrupt the Service
  • Create multiple accounts to avoid restrictions or fees
  • Transfer your account to another person

3.3 Listing Requirements

When creating listings, you must:

  • Provide accurate descriptions of items
  • Upload clear, accurate photos
  • Honestly describe the condition of items
  • Set fair and reasonable prices
  • Include accurate size and age information
  • Respond promptly to buyer inquiries
  • Update listing status when items are sold

4. Transactions and Payments

4.1 Payment Processing

All payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your payment card information.

4.2 Platform Fees

TrunkMatch charges platform fees on transactions. Fees are deducted from the seller's payout. Current fee structure:

  • Platform fees are calculated as a percentage of the sale price
  • Fees are disclosed before you complete a transaction
  • Fees are non-refundable except as required by law

4.3 Seller Payouts

Sellers must complete Stripe Connect onboarding to receive payouts. Payouts are processed according to Stripe's schedule, typically within 2-7 business days after a sale is completed.

4.4 Pricing

Sellers set their own prices. TrunkMatch does not control pricing. You may set:

  • A regular price (for queue system)
  • An optional "buy now" price (for immediate purchase)

4.5 Refunds and Returns

Refunds and returns are handled between buyers and sellers. See our Refund Policy for details. TrunkMatch may facilitate disputes but is not responsible for refund decisions.

5. Queue System

TrunkMatch uses a queue system to ensure fair access to listings:

  • Buyers join a queue for listings they're interested in
  • When your position is reached, you have a limited time to decide (typically 24 hours)
  • You can "pass" on a listing, moving to the next person in queue
  • Manipulating or gaming the queue system is prohibited
  • Queue positions are determined by matching scores and other factors

6. Referral Program

TrunkMatch offers a referral program:

  • You receive a unique referral code
  • When someone signs up using your code, you may receive rewards
  • Referral rewards are subject to change and may be discontinued at any time
  • Abuse of the referral system (e.g., creating fake accounts) is prohibited
  • Referral codes are for personal use only and may not be sold or transferred

8. Intellectual Property

8.1 TrunkMatch Content

The Service, including its design, features, and content, is owned by TrunkMatch and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

8.2 User Content

You retain ownership of content you post (listings, photos, descriptions). By posting content, you grant TrunkMatch a worldwide, non-exclusive, royalty-free license to:

  • Use, display, and distribute your content on the Service
  • Use your content for marketing and promotional purposes
  • Modify your content as necessary to display it on the Service

You represent that you have the right to grant this license and that your content does not infringe on any third-party rights.

9. Dispute Resolution

9.1 Buyer-Seller Disputes

TrunkMatch facilitates transactions but is not a party to transactions between users. Disputes between buyers and sellers should be resolved directly. We may provide tools to facilitate communication but are not obligated to resolve disputes.

9.2 Reporting Violations

You can report violations of these Terms or suspicious activity through our reporting system. We will investigate reports but are not obligated to take action.

9.3 Binding Arbitration

For disputes with TrunkMatch (not between users), you agree to resolve disputes through binding arbitration rather than in court, except for small claims court matters. Arbitration will be conducted by a neutral arbitrator under the rules of the American Arbitration Association.

10. Limitation of Liability

TRUNKMATCH IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

  • That the Service will be uninterrupted or error-free
  • The accuracy, completeness, or quality of listings
  • The quality, safety, or legality of items listed
  • The ability of users to complete transactions
  • The accuracy of matching algorithms

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • TrunkMatch is not liable for any indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for transactions between users
  • We are not responsible for items lost or damaged in shipping
  • We are not responsible for user conduct or content

11. Indemnification

You agree to indemnify and hold TrunkMatch harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or listings
  • Your transactions with other users

12. Termination

12.1 Termination by You

You may terminate your account at any time by deleting your account through account settings or contacting us.

12.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse the Service or other users
  • Fail to pay fees when due
  • For any other reason at our discretion

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and content
  • Outstanding transactions must be completed
  • Provisions that should survive termination will remain in effect

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last Updated" date
  • Sending an email notification (for significant changes)
  • Displaying a notice on the Service

Your continued use of TrunkMatch after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in California.

If you are located outside the United States, you agree that your use of TrunkMatch may be subject to local laws, and you are responsible for compliance with such laws.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
